Stop error 0x1e

I have had problems with this trouble computer for a while. It would repeatedly reboot when trying to install anything and the computer would get a BSoD. I replaced the PS and it seemed fine. However, it started to do the reboot thing again, so I read something on Microsoft and it said to format the HD and reinstall the OS. I was in the middle of the text phase when a new NSoD popped up on the screen. It was the 0x1E stop error pointing to the hal.dll file or the ntoskrnl.exe file. Is this a HD problem now? I tried a new stick of RAM, that works in another PC, in it and it is doing the same thing...

Specs

Cant find make/model of mobo.
AMD Athalon 800
128 DDR
HD 10GB seagate ???
48x CD

windows xp?

did you take out the old RAM whe you put in the new stick? RAM is usually the first causation of this problem.

I dl'd memtest and placed on floppy, however- before I got a chance to boot off of it, I had to change boot seq... but when I press del to enter BIOS the PC just freezes up. I tried another stick of RAM in it, but still no go. Any ideas now?

Oh, it is 2K pro, and I did take out the other stick of RAM...

Now that I have rebooted, I realize that is freezing up during the memory check- so I have tried 2 other sticks of RAM that work in other PC's...still same result!!!
