need help please

hi all,
ok heres my system-
intel865gbf mobo(latest bios updates)
pentium 4 2.4 processor
80 gig maxtor ata 133
120 gig maxtor ata 133
a pair of 512 mushkin pc3200(at relaxed timings)
asus ti4200(v9280td)
santa cruz audio card
lite on cd burner

what happens is after i either cold start or reboot my pc windows comes up normally.the task bar is on the screen.if i click desktop, taskbar hides and my system will hang.or if i go straight to start and open a program it stops after it opens.same with internet,can open internet but no links are active.....
now whats odd is that if i do ctrl alt del. and task manager pops up,all i have to do is close task manager and the pc goes back to normal operation.I do not have to end any programs.but it takes 2 clicks for task manager to close-it seems like 1 click to make it active then 1 to close.
this happens immediatley after a fresh format.i have totally erased my partition and started with a clean,empty,hard drive.and this is the same after like 5 formats.
I ran memtest on my memory with no errors,i have run power max on both hard drives with no errors,and my processor temps are excellent.I have run reg clean to make sure it was ok.
I tried xp pro and i get the same results as my home xp.
I even went so far as to put my soyo mobo in (soyo p4x400)and i get the same rsults.
if anyone can help me i would really appreciate it!! thanks

i agree with soulja...i have had similar problems like this and 9 outta 10 times it was memory leaks...try using different memory, or only one stick.

Try testing with a single stick and check system to see if problem persists...

this may also be a windows issue...may end up having to do a re-do of windows...

first buy or use someones stick of ram, atleast 128k or so should be good to test with and if its stable then its ur ram, and go out to get a new stick, if its the same, u need to format and reinstall windows, and if it still persists u have a hardware issue, either with ur motherboard, harddrive, memory slots, or just a bio setting, anythings possible, most i think is its the ram

ok guys thanks for the replies but i have a little more info for you......
I too suspected the ram so i did a little testing and came across this...
spd device data missing or inconclusive.after a little more searching i found that it is usually bad ram.you would think for what i paid for the mushkin it would last longer than 6 months(i do not overclock)so if any of you guys could post me some more thoughts on this i would appreciate it.thanks again.
