Best MicroATX Mobo out there ... ?

I am trying to build a HTPC (micoATX form factor) which will also double as my gaming/lan party rig.
I am having a hard time deciding on a microatx mobo.

I really like the 2.4C GHz HT P4 processor as it can easilly be Overclocked and HT means more performance too, for about 170 $ in newegg.

So I am looking for a pentium socket 478 mobo.

The following are the features that I am looking for in the mobo.
1) MicroATX
2) HT support
3) OC support in the BIOS
4) Q-Fan or SlientTek or similar techonology
5) If possible analog 5.1 out (without sacrificing the line-in)

Any suggestions ? Any mobo which atleast meets some of these requirements ?

I can settle for an Athlon Mobo if it fits all the requirements (except HT, of course) and can perform like P4 2.4C.

While your at NewEgg, do a search in motherboards for the MicroATX boards. They have a good selection of Intel boarfs or even the Asus is supposed to be good.

While the Asus P4P800-VM do support HT and is supposedly a solid board, it has Zero OC support. Nor is Asus's Q-Fan technology implemented. (I wonder why though !)

Only very few boards seem to support HT and even fewer support 800FSB, let alone OC support, in microATX FF, I mean
