Looking to upgrade office machine

We're looking to upgrade one of the machines in the office, here's the specs:
Duron 1ghz
ECS K7S5A
Benq LAN card (realtek 8139, or whatever the 10/100 chip is)
256mb PC100 ram
16mb Voodoo Banshee
10gb Excelstore HD
Windows ME

We have 2 choices, first we could stick 2k/XP on it and add a 512mb stick of PC133. OR we could get an XP1900/2000 and put in some DDR.
Bear in mind this is an office machine, and we have been having some stability problems with it such as MSIE crashing and locking the whole system or word crashing out. The hardware itself is sound, I get the feeling this is to do with ME, and also 9x based OSes don't work too well with >256mb ram. It is fast enough for most jobs as it is, and I'm leaning towards just sticking XP or 2k on it, which brings me to the next problem:
I've tried that in the past, and ended up with it freezing consistently at the same point during installation. (Installing Devices) XP has been on this machine before without any bother, so I'm not sure whether its a good idea to shell out for an XP licence unless I can pin down that problem.

XP is a great system indeed
I rarely get crashes... and when it does crash... it just shuts down all applications and refreshes desktop

NO BLUE SCREEN OF DEATH (WHOOOHOOO!)

First before you upgrade hardware id suggest just to load XP and see how it runs

If it seems to be running fine... Go ahead and upgrade some hardware... Processor and Memory

Only time I ever get a BSOD is when I have a driver problem that XP severely does not like or had it with a bad CD rom.

umm. I don't mean to be rude, but I know what XP is like, we have it on about 5 other systems here. Its just I tried to load it on this one and it wouldn't work. Doesn't matter anyway now.
Just ordered a 15" TFT, 512mb PC2700 and Win2k Pro. I figured, seeing as its a duron, and I know how XP performed on that chip, as the whole computer used to be my box at home, I just found it odd that it wouldn't install once I had it set up at the office.
I might mod the bridges and clock it back to 1.5ghz. Its a morgan Duron and I've had it up there before with 1.8v, its just these crappy K7S5As, I bought a box of them cheap and have to keep using them until they're all gone.
