As I understand from the specs, the P4C800-E differs from the P4C800 Deluxe as follows:

1. Power design reworked to support upcoming P4 Prescott (3.4Ghz 16K L1 & 1MB L2 cache - Avail Q4 2003). This power design should also be good for OC geeks.
2. Now uses Intel CSA 82547EI for Gig-E ethernet (instead of 3Com). To eliminate using the PCI interface.
3. Now includes all of the cables and modules that reviewers said should have been included in the first place.

My impression is that Asus heard what people were complaining about on the P4C800 and addressed it with the PC4C800-E. I'm glad to be an ASUS fan!
You'll have to decide which is better (depends if the new features are worth ~$30 to you, P4C800 ~$169, P4C800-E ~$200).
