GEFORCE5900 Ultra Problems

Was wondering if you could help me here.
I just installed fx 5900 ultra with all different types of drivers tried, like 44.03, 44.51, 43.51, 44.65 and the problem I have is that when I load a game after about 30 seconds to a minute...everything freezes. I have also tried running the nvidia dawn videos demos and they start and then freeze with sound still playing in the background.
I have a MSI K7n2 Delta motherboard with 512 MB CorsAir PC 3200 ram latest Nforce2 drivers , 430 watt power , AMD xp 2800 +.
Have you had or heard of any similar problem that you might know the answer to, before I break down crying because I just spent $500. on something that is no better than the leaf blower I use to have!
