well, in that case it's likely some software that won't shut down properly for some reason, but you would think that it wouldn't shut down properly instead of only hanging on restart.
just a test, you may want to check your startup items and disable some or all of them.
if that doesn't help, check to see if you have any non-windows installed services in your services.msc (oprn from the "run" dialog int he start menu) and try disabling those set to automatic to see if they are causing the problem. the non-windows services are typically the ones without descriptions, but it's easy to tell them if they have a name relating to the software/hardware that installed them (ie ATI hotkey poller).
