Help with 8 beeps

I have a p4 2.4, geforce 5200, asrock motherboard.
There is my problem.
on booting the system i get 8 beeps.
I've read on it and know that it means a problem with the video card sitting or memory. However i've replaced the video card with an old geforce 4, and still get the same beeps. if i reset the system ( vary from 3 restets to 100) the system eventually boot up.
It seems that if i leave the system turned off over night than it reboot within 5 or 10 reset as opposed to 100 + when the system as been runnning for a long period of time.
Please help!!!

when they tell you that there is a problem with the video card that doesnt necesseraly mean the video card itself...it might also be in the reach of the motherboard itself or the slot....im not really sure though....
