Kids 2.4c or 2.8c P4

I got a mobo about 2 weeks ago and now looking for cpu. I had my mind set on a 2.8c Ghz P4 800fsb. I have been researching alot on this and found that a 2.4c will have better performance and is more overclockable. the price for the 2.8c is 185$ and the 2.4c is 167$ Im not sure if I should get the 2.4c or 2.8c. I know im getting 1 Kingston 184 Pin 512MB DDR PC-3200, cas: 3-3-3, v:2.6. I want to overclock over 3.0, but i dont want to spend a fortune on cooling. I currently have a case side fan blowing air out, a fan on the front inside of the case blowing air in, a fan ontop of the cpu fan and heatsink, and a small fan blowing in on the bay drive. I will be using stock heatsink and fan untill i can get an after market one. I do alot of video editing, some gaming, encoding, music, etc... If anyone can help me decide on weather i should spend the extra money on the 2.8 or go with the 2.4 and overclock it more. Also, I could use some recommendations on heat sink

Take a look at any CPU database. You'll see that the 2.8C overclocks higher.

Sweeper is on a distinguished road
I picked up a 2.4C over the 2.8C. Potentially the overclocking increase was much higher. I was seeing up to 250FSB with stock cooling, and it was cheaper.

Well i already orded it all. 2.8c with 1x 512mb pc3200 OCZ ddr400

I currently have a case side fan blowing air out,

in most cases you will get better cooling by having the fan on the case side blowing cool air IN, down on to the CPU.... otherwise the CPU fan is basically fighting the case fan for airflow... plus the cool outside air is going directly to the heatsink.
