Can't get system to stay asleep in 'Stand By'

I built a system around an ECS mobo with a SiS chipset. I can get the system to go to into 'Stand By' but it wont stay in that mode. I hear the screen turn itself off and the system light begins to blink like its in full stand by mode, but then almost immediately the system wakes up again, what's up?

ECS K7S7AG w/SiS 746 FX chipset
Athlon XP 2600 333Mhz FSB
The ACPI is enabled in the BIOS.
Windows XP Pro early version with some SP1 fixes, but I didn't download the whole SP.
