Kinda seems fishy, yet makes sense at the same time. I am wondering if any body has heard anything about this. I would like to participate but don't feel like throwing away $40.

Sounds like a con to me..
I have participated in Market Research, and although it was not over the internet it was in person. They paid me, and I never paid them... I think your first intuition that it might not be as it seems is correct.

AOL has a survey forum that I visit a few times a month. I take surveys about all sorts of things and they give us credit toward your AOL bill. I've done stuff about soda (or pop for those of you west of here), travel, movies, etc. Each one gets you $3-5 toward the AOL bill, but there's no investment on my part.
