if you're running windows xp pro(I think 2k pro is the same...), you'll have to enable physical address extensions or else you'll only see between 3 and 3.5gb ram. Plus Applications can only use the first 2GB of ram, the last 2GB will be reserved for the OS kernel. So basically, it's a waste. 3GB would be a better idea, 1 gig for the OS, and 2 GB for apps. This applies to all single processor systems currently available except for the athlon 64, and then only when your OS and programs are recompiled to 64-bits(which isn't available yet). If you run dual processors, I believe that raises the limit to 8GB... I just know i've set up a couple systems on 4GB ram using 875 chipsets and it does work, though it's not very necessary.
