Your first resolution with something like that should be to file a dispute with the credit card company. You should make sure you have copy of your receipt or invoice which states that you were getting a new retail version. By showing that you did not receive what you ordered, you have the proof you need to dispute the charge.

Generally, with software, if you open up the package your are accepting the user agreement for the software. If the package was evident that it was an OEM version and you opened it up, a court might deem that as the fact that you accepted ownership of the product according to its user agreement.
